Terms of Service

These terms are an agreement between Night Forge Studios ("we", "us"), the seller of Staffed, and the business that signs up for it ("you", the "customer"). The person accepting them confirms they can bind that business. [TODO: entity type and state of registration]

1. The service

Staffed is a staffing board for agencies: people, projects, weekly load, time off, an Ask feature and optional integrations. New workspaces get a 30-day trial without a card. We improve the service over time and may change features; we will not materially reduce the core service during a paid term.

2. Accounts and workspaces

  • Owners and admins decide who has access and with what role, and are responsible for their users.
  • Keep sign-in credentials safe and tell us promptly about any unauthorized use.
  • You must be a business, and for now based in the United States.

3. Plans, fees and billing

  • Plans are a flat monthly or annual price per workspace, set by the number of people on the board (see Pricing). Logins are unlimited.
  • Billing is through Stripe. Subscriptions renew automatically until canceled. Taxes are extra.
  • Above your plan's limit you cannot add more people until you upgrade; nothing already there is hidden.
  • If a payment fails, you have a 7-day grace period; after it the workspace becomes read-only until paid.
  • We give at least 30 days' notice of a price change, effective at your next renewal. [TODO: confirm notice period]
  • Founding pilot discounts are set out in a separate written pilot agreement.

4. Cancellation and refunds

You can cancel any time in the billing portal; the plan runs to the end of the period already paid. [TODO: refund policy for annual plans]

5. Your data

  • You own the data you put into Staffed. We use it only to provide and support the service.
  • You are responsible for having the right to add people's information, and for meeting any employment and privacy laws that apply to planning their workload, including telling your staff.
  • Do not put sensitive information into Staffed: no health or medical-leave details, no reasons for time off, no government identifiers.
  • You can export your whole workspace (CSV and JSON) at any time, including after canceling, until it is purged.
  • How long we keep data after cancellation or deletion is in the Privacy Policy.

6. Ask (AI answers)

Ask writes answers with an AI model from your workspace's data. Answers can be wrong or incomplete; check them before relying on them. Ask only answers questions: it never changes your data. Use is limited per plan, and owners and admins can switch it off.

7. Integrations

If you connect a third-party service such as HubSpot, your use of that service is governed by its own terms. We access only what the integration needs, and you can disconnect at any time.

8. Acceptable use

  • No unlawful use, and no use that infringes others' rights.
  • No attempts to break security, reach other customers' data, or overload the service.
  • No scraping, reselling or copying the service, except as the law allows.

9. Availability and support

We work to keep Staffed available and to answer support email promptly, but there is no uptime guarantee (SLA) in the current plans. [TODO: support hours and response targets]

10. Confidentiality

Each side keeps the other's non-public information confidential and uses it only for this agreement.

11. Disclaimers

Apart from what these terms say expressly, the service is provided "as is", without warranties of merchantability, fitness for a particular purpose or non-infringement, to the extent the law allows.

12. Limitation of liability

Neither side is liable for indirect or consequential losses or lost profits. Our total liability is limited to the fees you paid in the 12 months before the claim. [TODO: cap and carve-outs after legal review]

13. Suspension and termination

We may suspend a workspace for non-payment (after the grace period) or for a serious breach of these terms, and will tell you why. Either side may end the agreement for a material breach not fixed within 30 days of notice.

14. Changes to these terms

We may update these terms. Material changes are emailed to workspace owners at least 30 days before they take effect.

15. Governing law

These terms are governed by the laws of the state named here. [TODO: governing-law state and venue]
